Notice: The US VA will require your Agency to Have Insurance prior to contracting. However, there will be time to get insured if you are not already. Since, the United States Veteran Affairs is a US Federal Agency, they have the sole right to accept and/or reject any Provider into their network. So we implore you to remain as transparent as possible.

CONTRACT MANAGEMENT AGREEMENT

This Contract Management Agreement ("Agreement") is entered into on the date it is digital executed, by and between:

(Healthcare Provider), a healthcare provider duly organized and existing under the laws of the state

where it resides, with its principal place of business at which place it is duly registered with the secretary of state.

AND

Signal Health Group Franchise, a franchise company duly organized and existing under the laws of Nevada, with its principal place of business at 3753 Howard Hughes Parkway #200 Las Vegas, NV 89169 ("Contract Manager" or "Signal Health Group Franchise").
RECITALS

WHEREAS, the Healthcare Provider desires to apply for and, if selected, obtain a contract with the U.S. Department of Veterans Affairs (VA) to provide healthcare services including In-Home Care Services,

Home Health Services, Veteran Group Home Services, Primary Care Services, PTSD Counseling, and/or Hospice Services under the TRICARE West Region’s contract with Signal Health Group Franchise and

WHEREAS, the Contract Manager (Signal Health Group Franchise) has the expertise and capability to manage the application and the subsequent contract management process for the Healthcare Provider and agrees to provide these services as set forth in this Agreement;

NOW, THEREFORE, in consideration of the mutual promises and covenants set forth herein, the parties agree as follows:

  1. Scope of Services

    The Contract Manager agrees to provide the following services to the Healthcare Provider:

    1. Application for VA Contract

      Signal Health Group Franchise shall assist the Healthcare Provider in applying for the U.S. Department of Veterans Affairs (VA) TRICARE West Region to provide services through Signal Health Group’s

      contract to provide healthcare services, including In-Home Care Services, Home Health Services, and/or Hospice Services.

    2. Contract Management Services After VA Acceptance

      If the Healthcare Provider is successfully selected by the U.S. Department of Veterans Affairs (VA) as an official contractor under the Signal Health Group Contract, Signal Health Group Franchise shall take on

      the role of the Contract Manager for the Healthcare Provider and will be responsible for the following tasks:

      • Obtaining Contract Approval: Work to ensure that the Healthcare Provider is approved as a VA contractor.
      • Managing the Contract: Ensure the efficient management of the contract, including compliance with VA requirements and monitoring of performance.
      • Reimbursement Management: Oversee the management of reimbursements for services provided under the VA contract.
      • Ongoing Support: Provide ongoing support to the Healthcare Provider, ensuring smooth contract performance and adherence to VA standards.
      • Contract Preparation and Negotiation: Assist in preparing, analyzing, and negotiating any future contracts, amendments, or renewals with the VA.
      • Relationship Building: Establish and maintain relationships with key personnel at the U.S. Department of Veterans Affairs (VA).
      • Document Management: Maintain all contract-related documents, communications, and correspondence.
      • Contract Presentation: Present contract-related information to relevant stakeholders, including the Healthcare Provider's internal teams and the VA.
      • Troubleshooting: Address and resolve any contract-related issues that may arise during the term of the contract.
      • Tracking and Renewal: Keep track of the contract status, including monitoring renewal dates, extensions, and contract closeout procedures.
      • Compliance Support: Assist the Healthcare Provider in complying with mandatory standards set forth by the U.S. Department of Veterans Affairs.
      • Regulatory Updates: Stay informed and provide updates on any changes to relevant rules, regulations, or policies affecting the contract.
  2. Fees and Payment Terms
    1. Application Fee

      The Healthcare Provider agrees to pay Signal Health Group Franchise a fee of $6000.00 for the setup process for the U.S. Department of Veterans Affairs (VA). This fee will only be collected if they do not fulfill the duties outlined under this contract for a minimum of 60 months. After 60 months this fee is waived.

    2. Payment Contingency

      No fees shall be paid for services unless the U.S. Department of Veterans Affairs (VA) accepts the Healthcare Provider as an official contractor under the VA’s TRICARE West Region’s contract with Signal Health Group. If the Healthcare Provider is not selected by the VA, no additional fees will be owed to Signal Health Group Franchise.

    3. Ongoing Management Support Fee

      Following the successful acceptance of the Healthcare Provider as a VA contractor, Signal Health Group Franchise will provide ongoing contract management support as detailed above. Provider will bill Signal Health Group the full amount authorized for services rendered under Signal Health Group’s contract,

      once payment from the Department of Veteran Affairs has been received Signal Health Group will disburse 80% of the invoiced amount and retain 20% as a Management Support fee.

  3. Responsibilities of Healthcare Provider

    1. Follow Département of Veteran Affairs Guidelines for provided services

      The Department of Veteran Affairs has strict guidelines contractors will be required follow for each of the services covered by Signal Health Group’s contract. The Healthcare Provider will follow all guidelines for any services they provide to remain in good standing.

    2. Follow Signal Health Group GuidelinesSignal Health Group retains the right to add additional guidelines for you to follow when providing care under their contract.
  4. Term and Termination

    1. Term of Agreement

      This Agreement shall begin on the effective date as indicated above and shall continue in effect until the contract with the U.S. Department of Veterans Affairs is either terminated by mutual consent or by

      completion of the contract management services under the VA contract, whichever occurs first.

    2. Termination for Convenience

      Either party may terminate this Agreement at any time upon thirty (30) days' written notice to the other party.

    3. Termination for Cause

      In the event of a material breach of this Agreement by either party, the non-breaching party may

      terminate this Agreement upon fifteen (15) days’ written notice to the breaching party, provided that the breach is not cured within such notice period.

  5. Confidentiality and Non-Disclosure

    1. Confidential Information

      Both parties agree to maintain the confidentiality of any proprietary or confidential information

      disclosed during the term of this Agreement. Such confidential information shall not be disclosed to third parties without the prior written consent of the disclosing party, unless required by law.

    2. Survival of Obligations

      The confidentiality provisions of this Agreement shall survive its termination or expiration.

  6. Indemnification and Liability

    1. Indemnification by Healthcare Provider

      The Healthcare Provider agrees to indemnify, defend, and hold harmless Signal Health Group Franchise, its affiliates, and its employees from any and all claims, liabilities, damages, and expenses arising out of or in connection with the Healthcare Provider’s actions, performance, or failure to perform under the VA contract.

    2. Indemnification by Signal Health Group Franchise

      Signal Health Group Franchise agrees to indemnify, defend, and hold harmless the Healthcare Provider from any and all claims, liabilities, damages, and expenses arising out of or in connection with the

      actions of Signal Health Group Franchise or its affiliates related to the contract management services provided under this Agreement.

  7. Miscellaneous

    1. Governing Law

      This Agreement shall be governed by and construed in accordance with the laws of the state of Nevada.

    2. Entire Agreement

      This Agreement contains the entire understanding of the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous agreements or understandings, whether oral or written.

    3. Amendments

      Any amendments or modifications to this Agreement must be in writing and executed by both parties.

    4. Severability

If any provision of this Agreement is determined to be invalid or unenforceable, the remainder of the Agreement shall remain in full force and effect.

IN WITNESS WHEREOF, the parties hereto have executed this Contract Management Agreement as of the day of this digital acceptance.
Both Parties, Acknowledge Acceptance of this agreement as of the effective date of your Execution by your Digital Signature and it is hereby Approve by Signal Health Group Franchise.
